QuietSeat Terms of Service
Last updated: 2026-10-25
These terms apply when you use QuietSeat (website https://quietseat.myagenthubs.com, app https://app.quietseat.myagenthubs.com), operated by Panda Frank (MyAgentHubs), based in Japan ("we", "us"). By signing in or using QuietSeat you agree to them. If you do not agree, do not use QuietSeat.
1. The service
You sign in with Google. When you turn on automatic listening, QuietSeat adds an assistant account (display name "QuietSeat Notetaker", an ordinary Google account) as an attendee of the Google Meet meetings you own. The assistant joins the meeting as a visible participant, produces a live transcript and a summary about every 60 seconds, and writes them into a Google Doc in your own Google Drive. Sections of the transcript that are not yet certain are marked "unconfirmed". See the Privacy Policy for how data is handled.
2. Who may use it
- You must be at least 18 years old.
- QuietSeat is offered to users in Asia-Pacific and the United States. It is not offered to users in the EU/EEA, the United Kingdom, or mainland China, and you must not use it from there.
- You must have the right to use the Google account you connect, and you must follow Google's terms.
3. Free beta, invitation code and limits
- QuietSeat is a free beta. Access requires an invitation code, and we may decline or end access for any account.
- Each user may use up to 300 minutes per month, each meeting is limited to 90 minutes, and only one meeting at a time is supported.
- We may pause the service for everyone at any time, for example when our overall monthly cloud cost cap is reached. We will try to tell users when this happens, but we do not promise a particular period of availability.
- Features and limits may change during the beta.
4. Your responsibilities
- Use QuietSeat only for meetings that you own and are entitled to have listened to and transcribed.
- You are responsible for complying with the laws of the place where the meeting is held and where its participants are located about recording and transcription, and for informing the other participants and obtaining any consent or permission required by law, by your organization or by the meeting rules. The assistant is visible as a named participant, but that does not replace your duty to inform them.
- Do not use QuietSeat for unlawful purposes, to monitor people secretly, or to process content you have no right to process.
- Keep your account secure. Do not attempt to bypass limits, access controls or the invitation requirement.
5. Third-party services
To provide QuietSeat, meeting audio is sent to Alibaba Cloud Model Studio (Singapore) for speech recognition, and transcript text is sent to Google's Gemini API to generate summaries. QuietSeat also depends on Google Meet, Calendar, Drive and Docs, and on our hosting providers. Their terms also apply to their parts of the service, and we are not responsible for their outages or changes.
6. Admission and availability
The meeting host controls who is admitted, and may decline the assistant. Some organizations' Google Meet settings block external participants, in which case the assistant cannot join. We do not guarantee that any meeting will be joined, or transcribed or summarized completely or on time.
7. Accuracy
Transcripts and summaries are produced automatically and may contain errors, including wrong words, wrong speakers or missing items. Text marked "unconfirmed" is especially uncertain. Check the content before relying on it.
8. Your content
You keep all rights in your meeting content and in the Google Docs in your Drive. You give us only the permission needed to process the content to provide QuietSeat as described in the Privacy Policy. We do not sell your data, use it for advertising, or use it to train general-purpose AI or machine-learning models.
9. Ending use
You can stop at any time by turning automatic listening off and disconnecting Google in the app; we then delete your tokens and server-side data as described in the Privacy Policy. Documents already in your Google Drive stay there. We may suspend or end your access, for example for misuse or breach of these terms.
10. Disclaimer
QuietSeat is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, and uninterrupted or error-free operation, to the extent permitted by law.
11. Limit of liability
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, lost profits or lost data, or for loss arising from a meeting being recorded or transcribed without the notice or consent that you were responsible for obtaining. Our total liability to you for any claim relating to QuietSeat is limited to the amount you paid us in the 12 months before the claim (which is zero during the free beta). Nothing in these terms limits liability that cannot be limited under applicable law, including liability for our intentional misconduct or gross negligence.
12. Governing law and jurisdiction
These terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute relating to these terms or QuietSeat.
13. Changes
We may update these terms and will change the "Last updated" date above. For material changes we will notify users in the app or by email before they take effect. Continued use after the change means you accept the new terms.
